Terms of Use

1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and PrivEzi Solutions Pvt. Ltd. ("PrivEzi", "we", "us", or "our"), governing your access to and use of the PrivEzi website (privezi.ai), platform, software-as-a-service ("SaaS") products, and any related services (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind such organization. If you do not agree to these Terms, you must not access or use our Services.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements. Organizations using our Services must ensure that their authorized representatives comply with these Terms.
3. Description of Services
PrivEzi provides a cloud-based data privacy management platform that helps organizations comply with the Digital Personal Data Protection Act, 2023 (DPDP Act), GDPR, ISO 27701, and other applicable privacy regulations. Our Services include but are not limited to: cookie management, consent management, data discovery, privacy automation, vendor risk management, breach management, data principal request management, and process records management.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, and shall not be liable for any such modification, suspension, or discontinuation.
4. User Accounts and Security
To access certain features of our platform, you may be required to create an account. You agree to: (a) Provide accurate, current, and complete information during registration; (b) Maintain and promptly update your account information; (c) Maintain the security and confidentiality of your login credentials; (d) Accept responsibility for all activities that occur under your account; (e) Immediately notify us of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be compromised.
5. Acceptable Use
You agree not to: (a) Use the Services for any unlawful purpose or in violation of any applicable law or regulation; (b) Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks; (c) Interfere with or disrupt the integrity, performance, or availability of the Services; (d) Transmit any malicious code, viruses, or harmful software; (e) Use the Services to infringe on the intellectual property or privacy rights of any third party; (f) Resell, sublicense, or redistribute the Services without our prior written consent; (g) Scrape, harvest, or collect data from the Services using automated means without authorization; (h) Use the Services to send unsolicited communications or spam.
Violation of this section may result in immediate suspension or termination of your access to the Services.
6. Intellectual Property
All content, features, functionality, software, text, graphics, logos, trademarks, and other materials available through the Services (collectively, "PrivEzi IP") are owned by or licensed to PrivEzi and are protected by Indian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purpose.
You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works based on any PrivEzi IP without our prior written permission. The PrivEzi name, logo, and all related names, logos, product and service names, and slogans are trademarks of PrivEzi Solutions Pvt. Ltd.
7. Data Processing and Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. To the extent that you upload, submit, or process personal data through our platform, you acknowledge that: (a) You are responsible for the lawfulness of any personal data you process using our Services; (b) You will comply with all applicable data protection laws including the DPDP Act; (c) You have obtained all necessary consents and authorizations from data principals; (d) PrivEzi acts as a Data Processor on your behalf, as defined in our Data Processing Agreement.
8. Payment and Subscription
Certain Services require payment of fees as set forth in your subscription agreement or order form. You agree to: (a) Pay all applicable fees in a timely manner; (b) Provide accurate billing information; (c) Accept that fees are non-refundable except as expressly stated in your subscription agreement. PrivEzi reserves the right to change pricing with 30 days' prior written notice. Failure to pay may result in suspension or termination of your access to paid Services.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIVEZI AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION.
In no event shall PrivEzi's total aggregate liability exceed the amount paid by you for the Services during the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you in full.
10. Indemnification
You agree to indemnify, defend, and hold harmless PrivEzi, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your use or misuse of the Services; (b) Your violation of these Terms; (c) Your violation of any applicable law or the rights of any third party; (d) Any data you submit, upload, or process through the Services.
11. Termination
Either party may terminate these Terms: (a) For convenience, with 30 days' prior written notice; (b) Immediately, if the other party materially breaches these Terms and fails to cure such breach within 15 days of receiving written notice. Upon termination, your right to access and use the Services will immediately cease. PrivEzi will provide you with the ability to export your data for a period of 30 days following termination. Sections that by their nature should survive termination shall survive.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
Before initiating any legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days.
13. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and PrivEzi. Severability: If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force. Waiver: Failure to enforce any right shall not constitute a waiver of that right. Assignment: You may not assign your rights or obligations without our prior written consent.
